GI Designs' Donation to the Red Cross

The Staff at GI Designs thanks YOU, our Customer, for making our September Donation Program to the American Red Cross Hurricane Relief Effort such a success! With your kind help, we raised in excess of over $2,000.00 to go towards Hurricane Relief Efforts by the American Red Cross along the US Gulf Coast.

We at GI Designs are truly moved by the images that we have seen of the recent disaster along the US Gulf Coast and want to help. For every online purchase made through the month of September 2005 until October 3rd, we are donating 5% of the purchase price, in the donors name, to the American Red Cross Disaster Relief Fund.

The purchase price mentioned above does not include any shipping costs or sales taxes, if any are due and applicable. Here is a simple example: A home decor item is priced at $100.00 and with packing & shipping, the total cost of your out of state (CO) order is $112.00 on this particular item. We will amend and send you another receipt showing that you have purchased this item for $95.00 with a charge of $12.00 for shipping and that you are donating $5.00 to the American Red Cross Disaster Response Fund. After our fundraising efforts end October 3, 2005, we will turn all donation money over to the American Red Cross with a list of all donors and amount donated so that the American Red Cross can send a donor acknowledgment directly to you.

This type of endeavor is not new to us here at GI Designs as we also gave a percentage of our sales after 9/11 to the Denver Chapter of the American Red Cross, earmarked for the Liberty Fund.

Here are more details about this particular donation collection as required by our signed agreement with the Mile High Chapter of the American Red Cross here in Denver, CO and quoted below:

This letter serves as an agreement between GI Designs, hereinafter referred to as “you” or “your”) and The American National Red Cross (“Red Cross”) for the purpose of setting forth the terms and conditions of our relationship with respect to the fundraising program described below.

1. All fundraising Materials (as defined in Section 3 below) must include the following information:
“Your financial gift to the American Red Cross Disaster Response Fund will help those affected by this crisis and countless others in the United States and Territories. The American Red Cross Disaster Response Fund provides immediate relief and long-term support through supplies, technical assistance and other support to those in need.”

2. From September 1, 2005 through October 3, 2005, you agree to provide Donors the opportunity to donate money to the Red Cross (“Donations”). You agree to collect Donations from Donors and forward one hundred percent (100%) of the Donations to the Red Cross. You agree to combine all Donations collected during the Term and, within ten (10) days after the Term, transmit the Donations by check and in one lump sum to the following address:

4. You agree to pay all costs associated with collecting and transmitting to Red Cross the Donations. You also agree to pay all costs associated with developing and printing promotional and marketing material for the fundraising program authorized hereunder (“Materials”), and you further agree that you will designate the beneficiary of the fundraising program as “American Red Cross.” You will not use the Red Cross emblem (consisting of a red cross symbol) in connection with the Materials or the fundraising program authorized hereunder without prior approval. You agree that before you use, publish, disseminate or display the Materials, you will obtain prior approval of the Materials by the Communication Department at the Red Cross. You agree to include the following disclaimer on all Materials: “The American Red Cross name is used with its permission, which in no way constitutes an endorsement, express or implied, of any product, service, company, individual or political position.” You also agree to include the following contact information on all Materials: “For more information about the American Red Cross, please call 1-800-HELPNOW or e-mail info@usa.redcross.org.”

5. For a period of one (1) year after the Term, Red Cross may, upon fifteen (15) days prior notice to you, inspect and audit your financial records and bookkeeping with respect to all funds collected under this Letter Agreement.

6. YOU REPRESENT AND WARRANT THAT YOU WILL FORWARD TO THE RED CROSS ONE HUNDRED PERCENT (100%) OF THE DONATIONS. You shall indemnify, defend and hold Red Cross harmless, including its chartered units, and its governors, directors, officers, employees, agents and volunteers from and against any and all suits, claims, demands, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating in any way to your business and the fundraising activities authorized hereunder.

7. You agree to comply with all federal, state and local charitable solicitation statutes, regulations and ordinances that affect or apply to you and the fundraising activities authorized hereunder.

8. If it is reasonable and customary for the Donors to expect an acknowledgment of their Donations collected under the fundraising activities authorized hereunder, you will either (i) provide to each individual Donor written documentation that acknowledges the Donor’s contribution, or (ii) provide individual Donor and donation information (including, Donor name, address and amount of contribution) to Red Cross for the purpose of Donor acknowledgment. For each contribution of $250.00 or more by an individual Donor, you agree to (i) provide to such individual Donor written documentation that acknowledges the Donor’s contribution, or (ii) provide individual Donor and donation information (including, Donor name, address and amount of contribution) to Red Cross for the purpose of Donor acknowledgment.

9. You agree that any tax credit accrues to the original donor and not to you as a third party conveyor of the donation.

10. You agree that you shall not assign, subcontract or in any way transfer any of the obligations, duties or responsibilities under this Letter Agreement without the prior written permission of Red Cross.

11. Either party to this Letter Agreement may terminate this Letter Agreement at its convenience. In the event of termination, all funds collected subject to this Letter Agreement must be remitted as specified above.

12. This Letter Agreement constitutes the entire agreement and understanding between you and Red Cross with regard to the subject matter hereof and no amendment, modification or waiver of any of the terms or conditions herein shall be valid unless in writing signed by both you and an authorized representative of Red Cross.
